Every corporate finance deal brings a specific set of challenges requiring specialist knowledge and experience. Choosing the right adviser to execute a corporate finance assignment efficiently, while protecting confidentiality is the key to success. Our team experience combined with that of the HLB global network empowers us with the skill set to provide a complete range of corporate finance services for business.

The key range of services provided includes:

Transaction advisory services on initial public offers (IPO’s), privatisation and business combinations, providing advice on the various options available, structuring the financial transactions, advising on the tax implications and identifying potential investors.

IPO’s, including advising on the benefits and requirements of listing on a regulated stock exchange, acting as the transaction advisers, and through the HLB network, working with colleagues across the network to execute transactions where the understanding and knowledge of the local stock exchange is vital.

Project finance to fund business expansion, new acquisitions and debt restructuring through identification of potential investors, private placements and listings. We are also able to assist in determining the optimal debt:equity structure and negotiating finance through a host of intermediaries.

Project syndication through identification of local and/or overseas investors for partnering in new or expansion projects both in Kenya and abroad.

Preparing project feasibility studies to ensure that new ventures and business expansions are viable and sustainable in the long run. This involves assessing operational strategies and their financial implications and carrying out sensitivity analysis and their impact on the project. This is extended to providing advice on investment initiatives and registration with the relevant investment authorities.

Mergers and acquisitions involve identifying targets and structuring the deal to raising finance. Our experienced team is able to guide clients through the complex aspects of the transaction, providing advice on the financial, legal and tax aspects of the transactions, thereby maximising value and reducing risk.

Joint ventures demand that JV partners have local knowledge of the business, laws and operating culture while at the same time be able to verify the integrity and substance of the potential partners. We are able to assist clients through all these aspects when entering into a JV.

Valuing businesses or individual components by adopting valuation methods which are based on International Standards on Valuation, taking into consideration the nature of the transaction and inherent factors which are associated with each valuation.

Financial or operational due diligence involving verification of operations, management and material facts related to the business, thereby providing assurance on the financial and operational state and capacity of the business.
